Execution of Share Sale and Purchase Agreement between the Company’s Subsidiary and Foreign Partner in a Waste-to-Energy Project Consortium under Danantara

Strategic Expansion in Renewable Energy

PT Ananta Energi Asia (“AEA”), a subsidiary of PT Solusi Environment Asia Tbk (the “Company”), has executed share sale and purchase deeds with Zhejiang Weiming Environment Protection Co., Ltd. and its affiliates (“Zhejiang Weiming”) to become a shareholder in two consortium companies—in the form of limited liability companies—respectively established for the Waste-to-Energy (“WtE”) projects in the Greater Denpasar and Greater Bogor regions. AEA holds a 10% equity participation in each consortium company.

This development follows the disclosure of information submitted by the Company on 25 May 2026, whereby PT Danantara Investment Management (“DIM”) approved the addition of AEA as the local partner in the WtE project consortium led by Zhejiang Weiming for the two aforementioned project locations.

Currently, the approval process and the issuance of acknowledgment receipts for the amendments to the articles of association from the Ministry of Law of the Republic of Indonesia in relation to the changes in the shareholding composition of each consortium company are still ongoing.

PT Ananta Energi Asia (“AEA”), selaku anak usaha PT Solusi Environment Asia Tbk (“Perseroan”), telah menandatangani akta jual beli saham dengan Zhejiang Weiming Environment Protection Co., Ltd. beserta afiliasinya (“Zhejiang Weiming”) untuk menjadi pemegang saham di dalam dua perusahaan konsorsium berbentuk perseroan terbatas, yang masing-masing dibentuk untuk proyek pengelolaan sampah menjadi energi listrik (“PSEL”) di wilayah Denpasar Raya dan Bogor Raya. Presentase kepemilikan saham AEA pada masing-masing perusahaan konsorsium adalah sebesar 10%.

Perkembangan ini merupakan tindak lanjut dari keterbukaan informasi yang disampaikan Perseroan pada 25 Mei 2026, di mana PT Danantara Investment Management (“DIM”) telah menyetujui penambahan AEA sebagai mitra lokal di dalam konsorsium proyek PSEL yang dipimpin oleh Zhejiang Weiming untuk dua lokasi di atas.

Saat ini perolehan persetujuan dan Penerimaan Pemberitahuan Perubahan Anggaran Dasar dari Kementerian Hukum Republik Indonesia atas perubahan susunan pemegang saham pada masing-masing perusahaan konsorsium masih diproses.
